NOTE:   No parties may submit an invoice or bring a claim of any kind against the other party for goods, services, or expenses incurred under these Agreements unless the invoice or claim is submitted in writing within six (6) months from the date the goods were delivered, the services were rendered, or the expense was incurred. Any right to invoice for, or recover payment for, services or expenses not invoiced or claimed within this six-month period shall be deemed permanently waived and released.

No parties shall not authorize, permit, or cause any third party to file, register, or enforce any lien, encumbrance, security interest, attachment, claim of lien, mechanics’ lien, or other legal charge against any property of CINCOL (whether real property or personal property, including premises, equipment, inventory, receivables, or any goods supplied or installed), whether arising from the Seller’s performance, materials, labor, subcontractors, invoices, or any alleged indebtedness, except with CINCOL’s prior written permission.

If any such lien or encumbrance is asserted or filed without CINCOL’s written consent, the party shall (at its sole cost) promptly discharge, remove, and contest the same (including by providing any required bond or undertaking if necessary) and shall indemnify and hold harmless CINCOL against all claims, costs, penalties, interest, damages, and attorneys’ fees arising from or related to such lien or encumbrance.
